Cyprus has reminded registered companies and partnerships to confirm their beneficial ownership information by 31 December 2026, with penalties reaching €5,000 for failing to meet the annual deadline.
The Department of the Registrar of Companies and Intellectual Property (DRCIP) issued the reminder on 16 September. Entities must access the Beneficial Owners Register (BOR) between 1 October and 31 December 2026 to confirm beneficial owners, senior management officials or applicable due diligence information.
The requirement covers companies incorporated or registered under the Companies Law, Cap. 113, European Public Limited Companies and partnerships. Confirmation remains mandatory even when the information already recorded has not changed.
Failure to complete confirmation attracts a €100 penalty on the first day of noncompliance, then €50 for each subsequent day, capped at €5,000. These financial penalties apply independently of any potential criminal liability or prosecution.
Entities completing an initial registration, ownership update or another BOR action during the confirmation period must complete that action before submitting their annual confirmation. Organisations whose initial filing deadline, 90 days after incorporation or registration, falls within this period must also confirm their information by 31 December.
Only one confirmation is required during the annual window. A subsequent change or other action does not trigger another confirmation requirement for that calendar year.
The reminder follows wider efforts to improve access to corporate ownership information. In June 2026, the department signed an administrative cooperation agreement with the European Anti-Fraud Office (OLAF) to facilitate access to corporate and beneficial ownership data.
The arrangement supports investigations and the protection of EU funds. For businesses, the immediate priority is ensuring required BOR actions and annual confirmation are completed in the correct sequence before the deadline expires.
UK and Singapore Require Annual Ownership Information Checks
Singapore introduced mandatory annual verification of controller information in June 2025, requiring signed and dated confirmations. In the United Kingdom, companies must review their registered information, including people with significant control, through an annual confirmation statement. Both systems reinforce recurring ownership checks rather than relying solely on initial registration disclosures.
